NEW YORK, August 28, 2025 (Business Wire) -Today, Sycamore Partners (the Sycamore) announced that it had completed the purchase of Walgreens Boots Alliance, Inc. (the Company or WBA).
Stefano Pessina and his family have reinvested all their money in WBA, this indicates that they still support and believe in the future of the company. Sycamore is purchasing the business together with them.

By the close of the deal, each of Walgreens, The Boots Group, Shields Health Solutions, CareCentrix and VillageMD will operate as a different business.
The common stock of WBA is not traded anymore and will not be listed on Nasdaq because the merger is completed. WBA shareholders will receive cash of $11.45 per WBA share, and will have the non-transferrable right to receive up to an additional $3.00 in cash per WBA share of the net proceeds of the future sale of WBA debt and equity interests in VillageMD which consists of the Village Medical, Summit Health, and CityMD businesses.

UBS Investment Bank is the lead financial advisor of Sycamore. The two co-lead financial advisors are Goldman Sachs and J.P. Morgan and Citi and Wells Fargo are financial advisors. Legal counsel is Davis, Polk and Wardwell LLP and healthcare regulatory counsel is Bass Berry and Sims PLC.
In order to assist WBA, the Centerview Partners is providing them financial advice, the Kirkland and Ellis LLP is providing them law advice and the Ropes and Gray LLP is providing them healthcare regulation advice. Morgan Stanley co. LLC was also a financial expert and provided the WBA Board of Directors with an opinion on the level of fairness of the deal.
